This page is written in plain language. If anything is unclear, email us and we will explain it.

1. Accepting these terms

These Terms & Conditions govern your use of Recalcy's website, Windows desktop app and cloud accounting service (together, the "Service"). By creating an account, starting a trial, buying a licence or using the Service, you agree to these terms. If you use Recalcy for a company, you confirm that you have authority to accept these terms for that company.

If you do not agree, do not use the Service.

2. The Service

Recalcy provides GST billing, inventory, payments, journals, reports and related accounting tools. The Service includes a hosted web application, a Windows desktop app, online licence and device management, automatic cloud sync and an optional encrypted read-only offline viewer. Online features require an internet connection. The offline viewer is not an offline editing or accounting mode.

3. Accounts, devices and security

  • Provide accurate account and company information and keep it up to date.
  • Keep your email account, password, licence key and one-time codes secure. Do not share them.
  • You are responsible for activity carried out through your account and devices, unless you have told us promptly about unauthorised access.
  • Each plan has device and company limits. We may register, restrict or revoke devices to enforce those limits and protect your account.
  • Company administrators control team access, roles and devices. If you are a team member, contact your administrator for access changes.

4. Licence and permitted use

Subject to these terms and payment of applicable fees, Recalcy grants you a limited, non-exclusive, non-transferable and revocable licence to use the Service for your internal business purposes during your licence period.

You must not:

  • copy, resell, sublicense, rent or commercially exploit the Service except as permitted in writing;
  • reverse engineer, decompile or attempt to extract source code, except where the law expressly allows it;
  • bypass licence checks, device limits, access controls or security measures;
  • use the Service to build or operate a competing accounting product; or
  • remove proprietary notices from the Service.

5. Trials, plans and prices

New customers may be offered a 15-day trial, subject to one trial per person, email address and mobile number. Trial and paid plans include the device and company limits shown on the website or at checkout. Prices, billing periods and included features are displayed before you pay. Prices are in Indian rupees and include GST unless stated otherwise.

We may change plans, features or prices for future billing periods. A change will not reduce the features already paid for during your current licence period. Your licence ends when its stated expiry date is reached unless it is renewed.

6. Orders, payments and taxes

Orders are processed by our payment provider, Razorpay. A paid licence is issued only after the payment is verified. You authorise us and our payment provider to charge the amount shown at checkout.

You are responsible for the accuracy of billing details and for any taxes that apply to your purchase. We may suspend or restrict a licence if a payment is reversed, disputed or not completed. Contact us promptly if you believe you were charged incorrectly.

7. Refunds and billing errors

We offer a free trial so you can evaluate Recalcy before paying. If you believe you were charged in error, charged twice, or paid for a plan you did not receive, email support@recalcy.com within 7 days with your order or payment reference. We will review the request in good faith and, where appropriate, refund the amount to the original payment method.

Nothing in this section limits any refund or cancellation right you have under applicable consumer law.

8. Your data and your responsibilities

  • You own the business records you enter. You grant us the limited rights needed to host, process, back up and display them to provide the Service.
  • You are responsible for the accuracy and legality of your records and for having the right to enter personal information about your customers, suppliers and staff.
  • You must review invoices, GST calculations, reports and statutory filings before relying on them. The Service is a tool, not a substitute for professional accounting, tax or legal advice.
  • Keep independent copies of records that are critical to your business. The cloud service and offline viewer are not a substitute for your own backup and retention policy.

9. Acceptable use

You must not use the Service to:

  • break any law, including tax, GST, consumer-protection or data-protection law;
  • store or transmit malware, fraudulent records or content that infringes another person's rights;
  • attempt to gain unauthorised access to another account, company, device or system;
  • interfere with the availability, integrity or security of the Service; or
  • send unlawful, abusive or misleading communications through the Service.

10. Third-party services

The Service relies on third-party providers for hosting, databases, email delivery, payment processing and downloads. Their services may be subject to their own terms and privacy policies. We are not responsible for a third party's independent acts or omissions, but we choose providers with care and remain responsible for the Service we provide to you.

11. Availability, maintenance and updates

We aim to keep Recalcy available and secure, but we do not promise uninterrupted or error-free operation. We may perform maintenance, release updates, change features or temporarily restrict access to protect the Service, comply with law or address a security risk.

Online features, including creating or editing records, GST verification, payments and licence or device changes, require internet access. The Windows offline viewer is read-only and may show data only up to its last successful sync.

12. Intellectual property

The Service, including its software, design, text, graphics, logos and documentation, is owned by Recalcy or its licensors and is protected by intellectual-property laws. These terms do not transfer ownership of the Service to you. You retain ownership of the business records you enter.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as available" basis without warranties of any kind, whether express or implied. We do not warrant that every calculation, report or GST treatment will be correct for your particular facts, that the Service will meet every statutory requirement, or that data will never be lost. You must review outputs and maintain appropriate backups.

14. Limitation of liability

To the maximum extent permitted by law, Recalcy will not be liable for indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, goodwill, business opportunity or data, arising from your use of or inability to use the Service. Our total liability for claims relating to the Service will not exceed the amount you paid to us for the Service in the 12 months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded.

15. Indemnity

To the extent permitted by law, you agree to indemnify Recalcy against claims, losses and reasonable costs arising from your unlawful use of the Service, your business records, or your breach of these terms, except to the extent the claim is caused by our own negligence or wilful misconduct.

16. Suspension and termination

We may suspend or end access if you breach these terms, fail to pay, use the Service unlawfully, or pose a security or fraud risk. We may also suspend access to comply with law or protect the Service. Where reasonable and lawful, we will give notice and a reasonable opportunity to export your records. You may stop using the Service at any time. Provisions that by their nature should survive termination will continue to apply.

17. Governing law and disputes

These terms are governed by the laws of India. Subject to applicable law, courts in India with jurisdiction over the place where Recalcy is established will have exclusive jurisdiction over disputes. Before starting formal proceedings, please contact us so we can try to resolve the issue.

18. Changes to these terms

We may update these terms to reflect changes in the Service or the law. The updated version will be posted here with a new "Last updated" date. If a change is material, we will provide additional notice where appropriate. Continued use after the effective date means you accept the updated terms.

19. Contact

Questions about these terms or your licence can be sent to support@recalcy.com. We aim to respond within two business days.
